These terms govern your use of this website. Client engagements are additionally governed by a signed engagement letter, which takes precedence where the two differ.

1. Acceptance
By accessing https://qbo.mtechmpl.com/ you agree to these terms. If you do not agree, please do not use the website.
2. Who we are and what we do
Quillbook Office LLC provides bookkeeping, payroll administration, financial reporting and related administrative services to businesses in the United States. We are not a certified public accounting firm. We do not prepare or file income tax returns, perform audits, reviews or compilations, provide investment advice or provide legal advice. Nothing on this website constitutes tax, legal or investment advice.
3. Use of the website
You agree not to: use the website unlawfully; attempt to gain unauthorised access to any part of it; interfere with its operation; scrape or harvest content or contact details for marketing; or reproduce substantial parts of the content without written permission.
4. Engagement of services
Enquiries and quotes are not contracts. A client relationship begins only when a written engagement letter setting out scope, fees and responsibilities is signed by both parties. Quotes are valid for 30 days unless stated otherwise.
5. Client responsibilities
Where you engage us, you agree to provide complete and accurate records, respond to queries within a reasonable time, maintain your own copies of source documents, and retain responsibility for the accuracy of information you supply and for decisions you make. We rely on the information provided and are not responsible for consequences arising from information withheld, delayed or misstated.
6. Fees and payment
Fees are as agreed in the engagement letter. Invoices are issued on the first business day of each month and payable on receipt. We may suspend services on accounts more than 30 days overdue after written notice. Published website prices are indicative starting points and do not constitute an offer.
7. Term and termination
Engagements run month to month. Either party may terminate on 30 days' written notice. We may terminate immediately where we are asked to act unlawfully or unethically, where fees remain unpaid after notice, or where the working relationship has irretrievably broken down. On termination we complete the current period, issue a final invoice and provide your records in a portable format.
8. Intellectual property
All content on this website — text, layout, graphics, logo and code — is owned by Quillbook Office LLC or its licensors and is protected by United States copyright law. Templates, checklists and working papers we create remain our property; you receive a licence to use deliverables for your own business purposes.
9. Confidentiality
We treat all client information as confidential and disclose it only as described in our Privacy Policy or as you authorise. This obligation survives the end of the engagement.
10. Disclaimers and limitation of liability
The website is provided “as is” without warranties of any kind, express or implied, including accuracy, availability or fitness for a particular purpose. See also our Disclaimer.
To the fullest extent permitted by law, Quillbook Office LLC shall not be liable for indirect, incidental, special or consequential damages, or loss of profits, revenue, data or goodwill. For client engagements, our aggregate liability arising out of the engagement shall not exceed the total fees paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability for fraud or for anything that cannot lawfully be limited.
11. Indemnity
You agree to indemnify us against claims arising from your breach of these terms, your misuse of the website, or inaccurate or incomplete information you supply to us.
12. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Albany County, New York. Before commencing proceedings, both parties agree to attempt resolution in good faith for 30 days.
13. Changes
We may update these terms; the current version is always published here with its effective date. Continued use of the website after a change constitutes acceptance.
